1. Introduction

These Terms & Conditions ("Terms") govern access to and use of the website operated by YMV & Co, a simplified joint-stock company (SAS) registered in France under SIREN number 102 733 268 ("YMV & Co", "we", "us", "our"), including ymvconsulting.com and any associated services (the "Website"). By accessing or using this Website, the user ("you", "your") agrees to be bound by these Terms. If you do not agree, you should not use the Website.

2. Company Information

YMV & Co is an independent consulting firm providing advisory and intelligence services including:

• Fractional General Counsel services,
• Verification & Risk Advisory (Partner Verification) and risk intelligence services,
• Scam Check, an independent verification service for individuals,
• Strategic legal and governance advisory

YMV & Co holds professional indemnity insurance (responsabilité civile professionnelle) covering its advisory and intelligence activities, in accordance with standard professional practice in France.

3. Purpose of the Website

The Website provides general information about YMV & Co's services and includes questionnaires through which users may submit a Fractional General Counsel assessment, a Verification & Risk Advisory (Partner Verification) request, or a Scam Check request.

Users may also contact YMV & Co directly regarding potential advisory engagements. Any information submitted through the Website must be accurate to the best of the user's knowledge and, for organisational requests, provided by a person authorised to do so on behalf of their organisation.

Information available on the Website is provided for general informational purposes only.

4. No Professional Relationship

Accessing or using this Website, including submitting a request through either the Fractional GC or Partner Verification questionnaire, does not create any advisory, consulting, or professional relationship between the user and YMV & Co. Any professional engagement will be subject to a separate written agreement.

5. Acceptable Use

Users agree to use the Website only for lawful purposes and in accordance with these Terms. Users must not:

• Attempt to gain unauthorised access to systems or data,
• Introduce malicious software or harmful code,
• Interfere with the operation or security of the Website,
• Use automated tools to extract data from the Website without authorisation

YMV & Co reserves the right to restrict or terminate access in case of misuse.

6. Information Submitted Through Forms

Users may submit information through forms available on the Website, including the Fractional GC assessment and Partner Verification requests. By submitting information, you confirm that:

• The information provided is accurate to the best of your knowledge,
• You are authorised to provide such information on behalf of your organisation,
• The submission does not violate applicable laws or third-party rights.

Submission of a request does not guarantee acceptance of a consulting engagement. Any services will be governed exclusively by a separate written agreement between YMV & Co and the client.

7. Nature of Verification & Intelligence Services

YMV & Co's Verification & Risk Advisory and Scam Check services consist of independent, human-led intelligence work. Clients engaging these services acknowledge and accept the following:

• Research is limited to open sources and information lawfully accessible at the time the assignment is carried out. Findings reflect what such sources reveal at that moment and may not capture information that is private, undisclosed, subsequently changed, or unavailable through lawful open-source means.
• Each assignment is a decision-support tool and an informed professional opinion. It does not constitute a certification, guarantee, endorsement, or warranty as to the counterparty, individual, or subject of the verification, nor a guarantee of any future outcome.
• The final decision rests exclusively with the client. YMV & Co's verdict (such as Low / Medium / High risk) is advisory in nature; the client remains solely responsible for any decision taken or not taken on the basis of a report.

Any verification engagement is subject to a separate written agreement which sets out the scope, deliverables, and applicable terms. Where a Scam Check is purchased directly through the Website, the conditions set out in Section 8 apply.

8. Scam Check – Services for Individuals

Scam Check is an independent verification service intended primarily for individuals (consumers), available from €79, with optional add-ons priced and displayed in advance before purchase. The following conditions apply to Scam Check purchases made directly through the Website:

• Scope and deliverable. A Scam Check provides an independent assessment based on open sources, concluding in an advisory verdict (low / medium / high risk). It is a decision-support tool, not a certification, and Section 7 above applies in full.
• Pricing and payment. Prices are displayed inclusive of applicable taxes where required. The base price and any add-ons selected are shown before payment is taken. Payment is processed through a secure third-party payment provider; YMV & Co does not store full card details.
• Performance and right of withdrawal. A Scam Check is a service that begins promptly after purchase. Under Article L221-28 of the French Consumer Code, where you expressly request that performance begin before the end of the statutory 14-day withdrawal period and acknowledge that you will lose your right of withdrawal once the service has been fully performed, the right of withdrawal does not apply to a service that has been fully carried out. Where the service has not yet begun, you may request cancellation and a refund of any amount paid.
• No guaranteed outcome. Purchasing a Scam Check does not guarantee any particular finding or result. A verdict reflects the analysis of available open sources at the time of the assignment.
• Lawful use. You confirm that your request relates to your own legitimate interest (for example, protecting yourself before entering into a transaction or relationship) and that you will not use the service for unlawful purposes, including harassment, stalking, or unlawful surveillance of another person.
• Right to decline and refund. Scam Check is offered for a defined purpose. If a request falls outside the scope of the service, cannot be carried out lawfully or ethically, relies on information that is materially inaccurate or misleading, or otherwise does not correspond to the intended use of the service, YMV & Co reserves the right to decline to perform the assignment and to refund any amount paid. In such a case, no work product is delivered and the refund settles the matter in full.

9. Intellectual Property

All content on the Website, including text, graphics, logos, methodology descriptions, questionnaires, and materials, is the property of YMV & Co unless otherwise indicated. This includes the structure, design, and content of both the Fractional GC assessment and the Partner Verification questionnaire, which reflect proprietary methodologies developed by YMV & Co. These may not be reproduced, copied, adapted, or used for commercial purposes without prior written permission.

10. Confidentiality

YMV & Co treats all information submitted through the Website with professional care and confidentiality, consistent with the standards applicable to its advisory practice. Submissions received through either form are treated as confidential and are used solely for the purpose of evaluating a potential or existing engagement.

This does not, however, create professional confidentiality obligations equivalent to those arising from a formal signed advisory agreement.

11. Disclaimer

The information provided on this Website is provided "as is" and for informational purposes only. YMV & Co makes no guarantees regarding the completeness, accuracy, or suitability of information available on the Website.

12. Limitation of Liability

To the fullest extent permitted by applicable law, YMV & Co shall not be liable for any direct, indirect, incidental, or consequential damages arising from:

• Use of or inability to access the Website,
• Reliance on information provided on the Website,
• Delays or interruptions in service,
• Any decision taken or not taken by a client on the basis of a verification report or verdict, the final decision resting exclusively with the client as set out in Section 7.

Reports and verdicts are professional opinions based on open sources available at the time of the assignment and do not constitute a certification or guarantee; they are provided without warranty as to completeness or fitness for a particular purpose beyond the agreed scope.

YMV & Co maintains professional indemnity insurance (responsabilité civile professionnelle) appropriate to its activities. Where a separate written engagement agreement applies, any liability of YMV & Co is governed by, and limited in accordance with, that agreement. Nothing in these Terms excludes or limits liability where such exclusion or limitation is not permitted under applicable law, including in cases of gross negligence or wilful misconduct. Where a user purchases a service as a consumer, nothing in these Terms limits the statutory rights that consumer protection law grants them.

13. Third-Party Services

The Website may rely on third-party service providers including hosting providers, form infrastructure, data storage tools (such as Netlify and Airtable), and a payment provider agreed between YMV & Co and the client for purchases made through the Website. The Website also uses Google Analytics to measure audience data in an anonymised manner. These third-party services operate under their own terms and privacy policies. YMV & Co is not responsible for their practices.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of France, unless otherwise required by applicable law. Any disputes shall be subject to the jurisdiction of the competent courts of Nice, France.

15. Modifications

YMV & Co may update these Terms from time to time. Updated versions will be published on the Website with the revised effective date. Continued use of the Website following any update constitutes acceptance of the revised Terms.
